Terms of Service

1. Introduction

Welcome to Nafini.

These Terms of Service ("Terms") govern your access to and use of Nafini's services, including our AI-powered assistant available through WhatsApp and any related services we provide.

By accessing or using Nafini, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you should not use the Service.

2. About Nafini

Nafini is an AI-powered financial assistant designed to help users manage reminders, monitor bills, improve budgeting habits, and access certain financial services through integrated third-party financial infrastructure.

Nafini is a technology platform. Financial services made available through the platform may be provided by independent third parties. Nafini does not represent that it is a bank or other licensed financial institution unless expressly stated.

3. Eligibility

To use Nafini, you must:

  • be at least eighteen (18) years old or the age of majority in your jurisdiction;
  • have the legal capacity to enter into a binding agreement;
  • provide accurate and complete information when requested; and
  • comply with all applicable laws.

You are responsible for ensuring that the information you provide remains accurate and up to date.

4. Using Nafini

You must maintain an active WhatsApp account to access the Service.

Your use of Nafini is also subject to WhatsApp's applicable terms and policies.

You agree to use the Service only for lawful purposes and in accordance with these Terms.

5. Financial Services

Certain features available through Nafini may rely on third-party financial institutions, payment processors, banking infrastructure providers, or other regulated service providers.

Where financial services are offered through Nafini:

  • those services may be governed by separate terms issued by the relevant provider;
  • transaction processing times may vary;
  • failed or delayed transactions may occur for reasons beyond Nafini's control;
  • Nafini is not responsible for service interruptions caused by third-party providers; and
  • users remain responsible for reviewing and authorizing all financial transactions initiated through the platform.

Where applicable, refunds, reversals, transaction disputes, and payment processing shall be handled in accordance with the policies governing the relevant financial service.

6. Virtual Accounts

Where Nafini provides access to virtual account services, such accounts are issued and managed through authorized third-party financial service providers.

Nafini does not hold customer deposits or operate as a bank.

Users remain responsible for ensuring that payments are made to the correct account details provided within the Service.

7. AI Services and Limitations

Nafini uses artificial intelligence to generate responses, reminders, recommendations, and other assistance.

AI-generated content may occasionally be inaccurate, incomplete, outdated, or unsuitable for your specific circumstances.

Information provided through Nafini is intended for general informational purposes only and does not constitute financial, investment, legal, accounting, tax, or medical advice.

You should independently verify important information before making financial or other significant decisions.

8. User Responsibilities

You agree to:

  • provide truthful and accurate information;
  • protect your device and WhatsApp account;
  • review transaction details before confirming payments;
  • keep your account credentials confidential; and
  • promptly notify Nafini if you suspect unauthorized access.

You must not:

  • use the Service for unlawful purposes;
  • commit fraud or facilitate fraudulent activities;
  • engage in money laundering or other financial crimes;
  • impersonate another individual or organization;
  • reverse engineer, copy, or interfere with the Service;
  • attempt unauthorized access to Nafini's systems;
  • distribute malware or harmful software; or
  • use the Service in violation of applicable laws or regulations.

Violation of these Terms may result in suspension or termination of your access.

9. Privacy and Data Protection

Nafini is committed to protecting your personal information.

We process personal data in accordance with applicable Nigerian data protection laws, including the Nigeria Data Protection Act (NDPA), and our Privacy Policy.

Information collected may include:

  • your name;
  • phone number;
  • transaction references;
  • reminders;
  • budgeting information;
  • payment activity; and
  • information necessary to provide requested services.

Your information may be shared only where reasonably necessary to:

  • provide requested services;
  • process financial transactions;
  • comply with legal obligations;
  • prevent fraud; or
  • improve the Service.

Nafini does not sell your personal data.

Where information is processed by third-party providers, such processing is subject to their applicable privacy policies.

10. Intellectual Property

All intellectual property rights in Nafini, including its software, branding, content, designs, logos, AI systems, and technology, remain the exclusive property of Nafini or its licensors.

These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your personal, lawful use.

You may not reproduce, distribute, modify, or commercially exploit any part of the Service without prior written permission.

11. Service Availability

While we strive to provide uninterrupted service, Nafini does not guarantee continuous availability.

The Service may be unavailable because of:

  • scheduled maintenance;
  • technical failures;
  • internet disruptions;
  • third-party service interruptions;
  • regulatory actions; or
  • circumstances beyond our reasonable control.

12. Modifications

We may modify, suspend, or discontinue any feature of the Service at any time.

We may also revise these Terms from time to time.

Where changes materially affect your rights or obligations, reasonable notice will be provided through WhatsApp, our website, or another appropriate communication channel.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.

13. Suspension and Termination

We may suspend or terminate your access if:

  • you breach these Terms;
  • fraudulent or suspicious activity is detected;
  • continued access poses security or regulatory risks; or
  • we are required to do so by law.

Upon termination:

  • your access to the Service may immediately cease;
  • pending transactions may continue to completion where required;
  • certain information may be retained where required by law or for legitimate business purposes; and
  • provisions relating to liability, dispute resolution, intellectual property, and privacy shall continue to apply.

You may stop using Nafini at any time.

14. Disclaimer

The Service is provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, Nafini disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nafini does not guarantee that the Service will always be uninterrupted, secure, accurate, or error-free.

15. Limitation of Liability

To the maximum extent permitted by law, Nafini shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from your use of the Service.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Our total liability arising from your use of the Service shall, to the extent permitted by law, be limited to the amount you paid to Nafini for the relevant service during the three (3) months immediately preceding the event giving rise to the claim.

16. Force Majeure

Nafini shall not be liable for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including natural disasters, internet failures, telecommunications outages, labour disputes, civil unrest, government actions, cyberattacks, or failures of third-party infrastructure.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

The parties shall first attempt to resolve disputes amicably.

Where resolution cannot be reached, disputes shall be submitted to the competent courts of Nigeria.

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Nafini regarding your use of the Service.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
